Memorandum & Article of Association
1. NAME OF THE ASSOCIATION
The name of the Association shall be:
Pakistan Soap Manufacturers Association
Abbreviated as PSMA.
2. REGISTERED OFFICE
The Registered Office of the Association shall be situated in Pakistan at such place as may be determined by the Executive Committee from time to time.
3. STATUS OF THE ASSOCIATION
The Association is established as a non-profit organization under the applicable laws of Pakistan and shall operate solely for the promotion, protection, and development of the soap manufacturing industry in Pakistan.
4. OBJECTS OF THE ASSOCIATION
The objects for which the Association is established are:
- To promote, support, develop, and safeguard the interests of soap manufacturers in Pakistan.
- To create unity, cooperation, and coordination among manufacturers, importers, exporters, distributors, and stakeholders related to the soap industry.
- To represent the soap manufacturing industry before Federal and Provincial Governments, regulatory authorities, trade bodies, chambers of commerce, and other institutions.
- To encourage fair trade practices, quality standards, innovation, and technological advancement within the soap manufacturing sector.
- To assist members in matters relating to taxation, customs duties, imports, exports, labor laws, environmental regulations, and industrial policies.
- To collect, publish, and circulate information, statistics, reports, and research relevant to the soap industry.
- To organize seminars, conferences, exhibitions, workshops, training programs, and awareness campaigns for the development of the industry.
- To promote exports of Pakistani soap products in international markets.
- To establish liaison with local and international trade associations, organizations, and institutions.
- To encourage compliance with hygiene, health, safety, and environmental standards.
- To resolve disputes among members through mediation and mutual understanding.
- To undertake any lawful activity incidental or conducive to the attainment of the above objects.
5. POWERS OF THE ASSOCIATION
For the achievement of the above objects, the Association shall have the power:
- To acquire, hold, lease, rent, purchase, or dispose of movable and immovable property.
- To open, operate, and maintain bank accounts in the name of the Association.
- To raise funds through membership fees, donations, grants, subscriptions, sponsorships, and lawful sources.
- To appoint employees, consultants, auditors, legal advisors, and other professionals.
- To enter into agreements, contracts, and arrangements with individuals, organizations, and government authorities.
- To establish regional offices, committees, and subcommittees.
- To invest funds of the Association in lawful investments approved by the Executive Committee.
6. MEMBERSHIP LIABILITY
The liability of the members is limited.
7. INCOME AND PROPERTY
The income and property of the Association, whenever derived, shall be applied solely toward the promotion of the objects of the Association.
No portion of the income or property shall be paid or transferred directly or indirectly by way of dividend, bonus, or profit to any member of the Association.
8. DISSOLUTION
In the event of dissolution or winding up of the Association, any remaining assets after settlement of liabilities shall be transferred to another organization having similar objectives and not distributed among the members.
